These Terms of Use ("Terms") constitute a legally binding agreement between you and Axelion Inc. ("Axelion," "we," "us," or "our"), a corporation incorporated under the laws of the State of Delaware, United States of America.
These Terms govern your access to and use of the website located at axelion.group (the "Site"). By accessing, browsing, or otherwise using the Site, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately discontinue use of the Site.
Axelion reserves the right to amend these Terms at any time. Amended Terms will take effect upon publication on the Site. Your continued use of the Site following any amendment constitutes your acceptance of the updated Terms.
The following terms have specific meanings in these Terms:
"Axelion" means Axelion Inc., a Delaware C-Corporation, and its successors and permitted assigns.
"Site" means the corporate website operated by Axelion Inc. at axelion.group, including all subpages, content, and features thereon.
"Content" means all text, graphics, images, data, software, logos, trademarks, and other materials published on or accessible through the Site.
"User" means any individual or entity that accesses or uses the Site.
"Philippine Partner Entity" means the locally incorporated Philippine joint venture entity through which Axelion's Philippine operations are conducted, holding applicable licenses from the Bangko Sentral ng Pilipinas (BSP).
"Digital Asset" means any blockchain-based digital token, virtual currency, stablecoin, or cryptographic asset, including but not limited to PHPA, Bitcoin (BTC), Ethereum (ETH), and USD Coin (USDC).
"Applicable Law" means all laws, regulations, rules, orders, and directives applicable to a User's access to or use of the Site, based on the User's jurisdiction of domicile, residence, or incorporation.
The Site is a corporate information resource operated by Axelion Inc. It publishes information about Axelion's corporate structure, affiliated products and operating entities, infrastructure partnerships, and business activities in the digital asset and financial infrastructure sectors.
The Site is intended solely for:
The Site is not directed at, and should not be accessed by, retail consumers seeking financial products, investment opportunities, or consumer financial services. Axelion does not offer, market, or distribute consumer financial products through the Site.

Axelion Inc. is a Delaware C-Corporation holding company. It is not a registered investment adviser, broker-dealer, securities dealer, bank, licensed money transmitter, or financial institution under any US federal or state law.
Regulatory licenses, registrations, and approvals referenced on the Site pertain exclusively to Axelion's Philippine Partner Entity and other affiliated operating entities in their respective jurisdictions, and not to Axelion Inc. itself.
Any investment or commercial engagement with Axelion or its affiliated entities will be subject to separate definitive agreements, applicable legal documentation, and compliance with all applicable securities and financial services laws in the relevant jurisdiction.
Digital assets and blockchain-based financial products involve substantial risk. Where the Site references digital assets or stablecoins, including PHPA:

The Site is operated from the United States. Access to the Site and reliance on any information contained herein may be restricted, prohibited, or subject to additional regulatory requirements in certain jurisdictions. Axelion makes no representation that the Content on the Site is appropriate for, or legally available to, persons in all jurisdictions.
Users are solely responsible for determining whether their access to and use of the Site complies with all Applicable Laws in their jurisdiction, including laws regulating access to digital asset information, securities law restrictions on investment solicitation, and financial services licensing requirements.
Users in jurisdictions where access to information about digital assets, stablecoins, or blockchain-based financial products is prohibited or restricted must not access the Site. Axelion reserves the right to restrict access to the Site from any jurisdiction without notice.
All Content on the Site, including but not limited to text, design elements, graphics, logos, trademarks, service marks, trade names, images, audio, video, software, and the overall Site design and compilation, is the exclusive intellectual property of Axelion Inc. or its licensors and is protected by applicable US and international intellectual property laws, including copyright, trademark, and trade secret law.
Subject to these Terms, Axelion Group grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial, informational purposes only. This license does not include any right to:
"Axelion," "PHPA," "Kapwa Wallet," "PawnDesk," and all associated logos are trademarks or service marks of Axelion Inc. or its affiliated entities. Unauthorized use of any Axelion Group trademark is strictly prohibited.
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
Transmit, post, or otherwise make available through the Site any content that is unlawful, fraudulent, defamatory, threatening, harassing, obscene, or that infringes any third party's intellectual property or other rights
Attempt to gain unauthorized access to any portion of the Site, its underlying systems, servers, databases, or networks
Introduce, transmit, or otherwise deploy any malware, virus, Trojan horse, ransomware, or other malicious code through or in connection with the Site
Engage in any scraping, crawling, data mining, or automated extraction of data from the Site without prior written consent
Use any automated script, bot, spider, or other device to systematically access, index, or monitor the Site
Impersonate Axelion, any affiliated entity, or any third party, or misrepresent your identity or affiliation
Use the Site to solicit, collect, or store personal information about other users
Engage in any activity that could damage, impair, or overburden the Site or its infrastructure
Axelion reserves the right to investigate any suspected violation of these provisions and to cooperate with law enforcement authorities in connection with any investigation of unlawful activity originating from or involving the Site.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AXELION GROUP WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS.
Axelion and its affiliated operating entities are committed to compliance with applicable anti-money laundering (AML), counter-financing of terrorism (CFT), and economic sanctions laws and regulations.
By accessing the Site, you represent and warrant that:
You are not subject to any sanctions imposed by the United States Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or any other applicable sanctions authority
You are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive US sanctions
Your access to and use of the Site does not violate any applicable export control laws or regulations of the United States or any other jurisdiction
Axelion reserves the right to block, suspend, or terminate access to the Site for any User that Axelion Group reasonably believes may be subject to applicable sanctions or export control restrictions.

Axelion Inc. is incorporated as a Delaware C-Corporation. It is not registered as an investment adviser, broker-dealer, or financial institution under US federal or state law. Nothing on this Site constitutes an offer or solicitation of securities in the United States. Any future securities offering will be made in compliance with applicable US securities laws.
Philippine operations are conducted through Axelion's Philippine Partner Entity, a locally incorporated joint venture entity holding applicable licenses from the Bangko Sentral ng Pilipinas (BSP) under BSP Circular No. 1108 (2021). The Philippine Partner Entity holds existing VASP and EMI licenses. BSP pre-consultation for applicable sandbox and product requirements is targeted for Q2 2026. Product availability in the Philippines is subject to applicable regulatory approvals.
Lending and crypto-asset services offered through PawnDesk are structured for registration under the Philippine Lending Company Regulation Act and SEC Memorandum Circulars 04 and 05, Series of 2025 (CASP Framework).
Nothing on this Site constitutes an offer, solicitation, or invitation to engage in any transaction in any jurisdiction where such offer or solicitation would be unlawful or require registration, licensing, or qualification. Users are responsible for determining the legality of any transaction in their jurisdiction.
These Terms, together with the Privacy Policy and any other legal notices published by Axelion on the Site, constitute the entire agreement between you and Axelion Group with respect to your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No failure or delay by Axelion in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof.
You may not assign or transfer any of your rights or obligations under these Terms without Axelion's prior written consent. Axelion may freely assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets, without your consent.
Notices from Axelion to you regarding these Terms will be posted on the Site or delivered to any email address you have provided to us. Notices from you to Axelion Group must be sent to contact@axelion.group.
